Additional Terms of Service Applicable to Advisors

1. Acceptance of Additional Advisor Terms
Welcome to The Wisory (“Service” or “Site”) owned and operated by The Wisory Inc. (“The Wisory”). Advisors are considered Users of The Wisory Site, and are therefore bound by the Terms of Service Applicable to All Users (the “Terms”). By applying to become an Advisor on the Site, you also agree to comply with and be bound by the additional terms of this Advisor Agreement (the “Advisor Agreement”), the Privacy Policy, Advisor community guidelines, and all rules, policies and disclaimers posted on the Site or about which you are notified (collectively “Advisor Terms”). Please review all of the Terms and Advisor Terms carefully before applying to become an Advisor on the Site. To the extent of any conflict between the Terms and the Advisor Terms, the Advisor Terms shall prevail; however, it is the parties’ intent that the Terms and the Advisor Terms are complementary and should be read consistently when possible.
By applying to use or using the Site as an Advisor, you: (i) agree to be bound by the Terms and Advisor Terms; (ii) represent that you are at least eighteen (18) years of age and able to form legally binding contracts; and (iii) agree and acknowledge that by using the Service you are accepting a benefit that cannot be disgorged.
2. Definitions
Capitalized terms used herein have the meanings given to them in the Terms or as otherwise defined herein.
3. Advisor Representations, Warranties and Covenants
You represent and warrant that, at all times:
(a) All information you provide in your registration with The Wisory relates to yourself only and is accurate, complete, and not misleading.
(b) You accurately describe your background, skills, knowledge, and your level of experience (including professional licenses, certifications, education, employment, etc.).
(c) You will not misrepresent yourself, such as, but not limited to, using or creating a misleading username.
(d) (i) You will maintain and update the information described in subsections (a) – (c) above within twenty-four (24) hours of any changes so that it remains true, accurate, and complete. In addition, if any change to such information alters the status of any of your credentials that have been verified for purposes of being an Advisor on the Site (e.g., active license becomes inactive or suspended, disciplinary investigation is opened, etc.), you will notify The Wisory of such change by sending an e-mail to Connect@TheWisory.com within twenty-four (24) hours of the change. In addition, if such change makes you ineligible to be an Advisor on the Site, then you must immediately cease answering questions on the Site. (ii) The Wisory reserves the right, and Advisor agrees to comply, to periodically audit the credentials of any Advisor on the platform.
(e) You will not answer other Users’ questions in any of the Site’s categories or subcategories if you do not meet the expertise requirements of those categories or subcategories. You further must not take the work or ideas of any third party, or through the use of AI tools, and pass them off as your own when participating in any of the Services. If you are unclear about the requirements for Advisors in particular categories or subcategories, you will not answer any questions in those categories until after you seek and receive guidance by e-mailing Connect@TheWisory.com.
(f) You will not disclose any confidential information, including, for example, any material non-public or proprietary information, commercial secrets, or any information covered by a nondisclosure agreement to which you are a party, regardless of its source.
(g) Advisors may participate in the Service only if they are not restricted from doing so by contractual, fiduciary or other obligations, and have obtained all necessary approvals. It is your responsibility to determine if you are eligible to participate in the Service. By applying to use or using the Site as an Advisor, you represent and warrant that you are not restricted by any agreements, duties, policies, codes of conduct or codes of ethics that you are subject to, and that you have obtained all necessary approvals.
(g) You agree you will be available and on time for any scheduled Sessions, and that you will be prepared to share your expertise and perspectives on the topic of the Session.
(h) You are not forming a professional relationship with a Member with whom you schedule a session, and are providing only general information in response to their inquiries. (See Terms, Paragraph 8; Advisor Terms, Paragraph 5) You will provide competent answers only that are within your realm of expertise and any applicable credentials, and will use at least a reasonable standard of care in providing answers. A reasonable standard of care is the higher of: (i) the standard you apply in your profession not conducted on the Site; or (ii) the standard of care required by the applicable profession.
(ig) Advisors in the Medical or Health categories shall provide general information only, not medical or mental health advice. They shall not diagnose, treat, or recommend treatment or a course of action that should only be performed or recommended after an in-person examination or meeting, and they shall not act in a manner or engage in a form of communication that would establish a professional-client relationship on the Site. Such advisors should remind inquiring Members that they are not providing medical or mental health advice.
(jh) Advisors in the Legal categories must be attorneys licensed to practice law, and be in good standing, in at least one jurisdiction in the United States or foreign country. Such Advisors shall provide general information only, such as providing descriptions of general principles of law, and shall not provide legal advice. In responding to questions, Advisors in the Legal Category shall not apply their legal knowledge or skills to resolve or advise on the Member’s specific factual circumstances described in the question, such as by proposing a specific course of action (other than advising the User to seek the advice of an attorney licensed to practice in the relevant jurisdiction). Such advisors should remind inquiring Members that they are not providing legal advice.
(ki) You will not do anything to manipulate, undermine, or disrupt the integrity of any Member, Advisor, or other feedback ratings, reports, or systems on the Site, including, but not limited to, by filing false reports about other Advisors. You will not harass or threaten any other User of the Site.
(lj) You will not disclose (which a Member will be prompted to rate) any information that is classified more aptly as an “Information Request.”
(mk) You will abide by all laws, rules, regulations, and ethical standards when you use the Site, including without limitation those specifically pertaining to your profession and/or to professionals who work in the categories in which you are an Advisor (including, if applicable, any ethical obligations relating to conflicts of interest).
(nl) You will not engage in or encourage any other User to engage in any of the Restricted Activities listed in Paragraph 10 of the Terms.
(o) If you determine at any time that your participation in a Session could result in a violation of the Terms or Advisor Terms, or may otherwise present a conflict of interest, you must immediately terminate your participation in such Sessions and notify The Wisory in detail of the reasons for the same.
4. Termination of Agreement
(a) You may terminate your service and account by written notice via e-mail to Connect@TheWisory.com. Terminations typically will be effective within seven (7) business days after receipt of your termination notice, at which time your account will be closed, and you will no longer be able to access your former account. Any payments earned prior to the effective date of termination will be payable according to the Terms; for any scheduled sessions cancelled due to your termination, you agree that The Wisory may deduct from any amount owed to you an amount equal to the fees lost with respect to each such cancelled session.
(b) The Wisory can terminate or suspend the Agreement and/or Advisor Agreement, or an Advisor’s access to the Site, in the event of a breach of this Agreement by the Advisor, provided that The Wisory gives the Advisor notice of the breach. If the breach is of a curable nature, the Advisor shall have an opportunity to cure the breach within twenty days.
(c) Either party may terminate the Advisor Agreement immediately and without notice upon a material breach.
5. Informational and Educational Purposes Only
The Wisory Site is a venue for informational and educational purposes only. The formation of a professional-client relationship on the Site is prohibited. Promoting non-free services, provided by the Advisor or others, outside of The Wisory site is prohibited, except in the case the User requests this information.
6. User Content and License
Any information or communications you may provide in Sessions or otherwise provide to Users on or through the Site is considered User Content, and is owned by and may be used by The Wisory for any purpose. The Wisory reserves the right to remove any or all of your User Content, in whole or in part, at any time with or without notice. The Wisory may use User Content in any way it sees fit, including by recording your calls with Members and anonymizing and republishing the transcripts or summaries of the transcripts for other Members to access. You are not entitled to any payment or royalties for The Wisory’s use of User Content.
You authorize The Wisory to use your signature and/or profile information in e-mails sent to Members alerting them to your postings. You understand and agree that The Wisory may send Members e-mails pertaining to their questions and your answers that are signed by your username (but sent on your behalf from a The Wisory e-mail address). For example, The Wisory may let the Member know that you have sent the Member an e-mail, have responded to their question, and/or have not been paid for an answer (and the Member should therefore remit payment).
7. Payment of Fees to Advisors
The Wisory will issue payments to you on a monthly basis for all sessions conducted and completed in the prior month. Payments will be made electronically to your account information on file.
You agree that The Wisory has the right to resolve Member complaints as it deems necessary or advisable, including, in The Wisory’s sole discretion, by issuing refunds to Members to settle disputes. If The Wisory decides to issue a refund to a Member, The Wisory may seek reimbursement from the Advisor for such refund and the Advisor is obligated to make such repayment to The Wisory; or The Wisory may offset any refunds against any future payments owed to the Advisor. The Wisory also reserves the right to resolve accounting discrepancies with Members in its sole discretion, and the Advisor agrees to abide by any such resolution.
If The Wisory believes, in its sole discretion, that any Member funds were paid to an Advisor under suspicious circumstances or that funds were derived from a suspicious Member account, The Wisory will investigate the situation until it has reached an adequate resolution, as determined by The Wisory in its sole discretion. The investigation or resolution may require the involvement of certain third parties, such as a credit card company. Such an investigation may require The Wisory to put a hold on the funds in an Advisor’s account. The Wisory will make commercially reasonable efforts not to exceed a 90-day hold on an Advisor’s account during such an investigation.
The Wisory disclaims any warranty that its billing and payment system is without error. If an Advisor believes there is a problem with The Wisory’s billing or payment system, the Advisor should notify The Wisory by e-mail to Connect@TheWisory.com within thirty (30) days of such problem. Upon receipt of the notification of such a problem, The Wisory will, in good faith, work to remedy any alleged payment errors.
8. Advisor No Legal Relationship to The Wisory
You acknowledge that you are not an employee or agent of The Wisory but are, like Members, only Users of the Site. You shall act in accordance with this status and shall not hold yourself out as an officer, employee or agent of The Wisory, nor make any claim based on any right or privilege applicable to The Wisory’s employees. Under no circumstances shall you look to The Wisory as your employer, or as a partner, agent, or principal. Advisor will receive no The Wisory-sponsored employee benefits such as, but not limited to, paid vacation, sick leave, medical insurance, and 401k participation. Nothing regarding your participation on the Site will be considered as an endorsement, referral or recommendation by The Wisory of you or the answers you provide and you will not, either on the Site or in any other forum or by any other means, suggest such an endorsement.
It is the express intention of The Wisory and the Advisor that the Advisor be an independent contractor. Nothing in this Agreement shall in any way be construed to constitute the Advisor as an agent, employee, or representative of The Wisory. Without limiting the generality of the foregoing, the Advisor is not authorized to bind The Wisory to any liability or obligation or to represent that the Advisor has any such authority. Advisor agrees to furnish all tools and materials necessary to answer questions on the Site and shall incur all expenses associated with such performance. Advisor further agrees that any use of Site tools, The Wisory’s mobile application or any other tools offered by The Wisory (“Tools”) is optional; such Tools are offered purely for Advisor’s convenience and usage of such Tools are not mandatory.
Advisor acknowledges and agrees that Advisor is obligated to report as income all compensation received by or through The Wisory pursuant to this Agreement. Advisor agrees to and acknowledges the obligation to pay all self-employment and other taxes on such income.
9. Limited Exclusivity and Other Agreements
By agreeing to this Advisor Agreement and completing the online registration process, you are agreeing that:
(a) You agree not to post – or authorize anyone else to post – any portion of your sessions or answers conducted on The Wisory on any public forum.
(b) You agree not to make any statement that disparages or is otherwise negative with respect to The Wisory, its services, products, directors, officers, employees, shareholders or agents, except as required by law or in communications exclusively to The Wisory.
(c) You agree not to provide information on any other websites about The Wisory, unless you expressly state that your statements are not made on behalf of and have not been approved by The Wisory.
(d) You agree not to use any automated programs to automatically lock questions that are posted on the The Wisory website or to respond to messages sent to you.
(e) All interactions between an Advisor and a Member must be set up through The Wisory’s systems. Advisors are not permitted to share their contact information directly with Members (or with Member organizations) without The Wisory’s prior written consent. If an Advisor is contacted by a Member or Member organization directly, the Advisor is prohibited from providing any services to the Member or Member organization without first having arranged such Services through The Wisory. You agree not to circumvent The Wisory platform in order to provide services to any Member or Member organization to whom you were introduced by or through The Wisory’s Services.
(f) The provisions of this Paragraph 9 are not intended to prevent you from practicing your profession, but only from engaging in the limited activity described therein.
10. Indemnification
You agree to indemnify, defend and hold harmless The Wisory, any and all parent, subsidiary and affiliate organizations, officers, directors, agents, shareholders, consultants, employees, successors, and assigns harmless from and against all losses, costs, liabilities and expenses, including reasonable attorneys’ fees, asserted by any third party that are in any way due to, or arising out of, your use of or conduct on the Site, including, without limitation, that results from any User Content you may provide on or through the Site.
11. Survival
Certain sections of this Advisor Agreement, by their nature, are intended to and shall survive the termination of this Agreement.
